SEC Form 4 · Rule 10b5-1 trading plans
Insider trading plans — alerts
The register holds the trading plans a public company's officers and directors declare, the dates those plans were adopted, and the purchases and sales filed under them. For sale here is a standing watch on that register: each morning, the entries added for what you watch, the filing named and the line it came from shown.
- 7,839plan filings on the register
What you get
- A morning list of the insider filings added for what you watch
- Each filing named: the insider, the role, the transactions reported
- The adoption date each filing states for the plan behind the trades
- The trading policy each company on your watch reports it maintains
- The results dates companies reported beside the plans traded near them
- A watch set on one company, one industry, one state, or the whole register
Start the watch
- One company — $99/month
- One industry, nationwide — $2,990/year
- One state of incorporation — $4,990/year
- Every company on file — $18,000/year
Who buys it
Compliance officers, securities litigators, investigative reporters, and research desks that track how officers and directors trade under declared plans.
Questions
- When do the alerts arrive?
- The watch reads the register once each morning and sends the entries added since the last reading: the filings for the companies, industry or state you watch, each named, with the transactions it reports. Nothing is sent between readings.
- What counts as an entry?
- Any filing the agency accepts into the register for your watch: an officer's or director's report of purchases or sales, the trading plan the filing cites, and the adoption date it states, plus the policy a company reports. Each entry arrives with its record named.
- Will I hear about changes to a record after it is filed?
- No. The watch reports the entries added to the register, each as filed. It does not send notice when a plan ends, a filer's name or address changes, or a record is amended or withdrawn. What arrives each morning is what the agency added.
- What can I put under watch?
- Four things: a single company, one industry nationwide, companies incorporated in one state, or every company on the register. The morning list follows whichever scope you choose, and the same filing may appear under more than one watch if you hold more than one.
How the figures are built
Every figure is the one its source document printed, shown with the file it came from. The three shares that are divided and the positions that are ranked are named on one page. Nothing is estimated. How each figure is defined.
